Terms of Use: Alqira outside Brazil

Last updated: 17 October 2026

These Terms apply to farms located outside Brazil. Farms located in Brazil are governed by the Brazilian Terms of Use, in Portuguese, at /termos-de-uso. The country of a farm is the one recorded in its farm profile.

1. Who we are

These Terms of Use ("Terms") govern access to and use of Alqira (the "Platform" or the "Service"), cattle and farm management software provided as a service by ALQIRA DESENVOLVIMENTO DE SOFTWARE LTDA, a company registered in Brazil under CNPJ 68.290.029/0001-99, with its registered office at Rua Pais Leme, 215, conj. 1713, Pinheiros, São Paulo/SP, 05424-150, Brazil ("Alqira", "we", "us").

By creating an account, subscribing to or using the Platform, you ("you", "the User") confirm that you have read, understood and accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. What the Service is

2.1. Alqira is a tool to organize and visualize farm data (herd, weighings, health and handling records, purchases, sales, finance, breeding, crops and management reports). The Platform processes and displays the information you enter and figures derived from it. 2.2. The Service is designed for farm businesses: producers, managers and their teams, using it in the course of their farming activity. If the law of the country where you live treats you as a consumer, you keep every right that law gives you and that cannot be waived by contract (clause 13.2). 2.3. The Platform does not connect to, report to or replace any official livestock traceability, movement or identification system of any country (for example, a national cattle tracing service). Any official record you are required to keep or send remains your responsibility.

3. Account

3.1. You must create an account with true, complete and up-to-date information. 3.2. You are solely responsible for keeping your credentials confidential, including your password and second authentication factor (MFA). We strongly recommend keeping MFA turned on. 3.3. All activity under your account is your responsibility. Tell us immediately about any unauthorized use. 3.4. An account may have several users with different roles (owner, manager, operator, viewer), set by the account administrator, who is responsible for granting, reviewing and removing team access.

4. Annual plan, free trial, payment, refund and renewal

4.1. Annual plan. Access requires a paid ANNUAL subscription at the prices shown before you subscribe, paid in full or in 12 monthly instalments. The monthly instalments are a way of paying for the annual term you contracted: they are not a monthly plan, and the annual commitment is shown to you, in writing, before you enter your card details. Prices outside Brazil are charged in US dollars, euros or pounds sterling, according to the farm's country. Payments are processed by a third-party provider (Stripe); by subscribing you also accept the processor's terms. 4.1.1. Free trial. The first subscription of each farm, on the Semente plan or the Virada plan, starts with a 14-day free trial. To start it you enter a valid payment method, which is not charged during the trial. The first charge happens on day 15, counted from the subscription, for the payment option you chose; the date and amount of that charge are shown to you before you confirm. If you cancel before the end of the trial, on the subscription screen inside the Platform, nothing is charged and access continues until the last day of the trial. A farm that has already had a subscription does not get a new trial. The annual term and the renewal in clause 4.2 count from the first charge. 4.1.2. Taxes. Prices are shown without tax. Where a tax applies to the sale (for example, VAT in the United Kingdom or in a country of the European Union for a customer without a VAT number), it is added on top, at the rate of the farm's country, and shown before you pay. A business customer that provides a valid VAT number is invoiced without VAT, under the reverse charge. 4.2. Renewal. The subscription renews automatically for another annual term, at the end of each term, unless you turn off renewal before it. You can turn off renewal at any time on the subscription screen inside the Platform, without contacting us. 4.3. 14 days to change your mind, with a full refund. On your first subscription to the Platform, on either plan and either payment option, you may cancel within 14 (fourteen) calendar days from the first charge (the charge at the end of the free trial in clause 4.1.1 or, when there is no trial, the charge made when you subscribe) and receive a full refund, without giving any reason. You can do it on the subscription screen inside the Platform or by e-mail to suporte@alqira.com.br within the period. The refund goes back to the payment method you used, within the card network's processing times, and the subscription ends at once. This right applies once per account and not to renewals. It applies whether or not you are a consumer. If you are a consumer in the European Union or the United Kingdom, it gives you at least the 14-day right of withdrawal of the EU Consumer Rights Directive (Directive 2011/83/EU, article 9) and of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (regulations 29 and 30), and you are not charged for the days of Service you used before withdrawing. 4.4. Cancelling after the 14 days. The subscription is for an annual term. After the period in clause 4.3, a cancellation request works as non-renewal: access continues normally until the end of the annual term and, if you pay in instalments, the remaining monthly instalments of that term remain due, because the Service stays fully available until the end of the year you contracted. When the term ends, the subscription does not renew. There is no pro rata refund of a contracted term, except under clause 4.3 and where mandatory law provides otherwise. 4.5. Non-payment. If a payment fails, access may be suspended after notice, without prejudice to collecting the amounts due. If the subscription ends without the payment being settled, the retention and export periods in clause 11 apply. 4.6. Price changes. We will give at least 30 days' notice of any price change, which takes effect only at your next renewal and is subject to clause 4.8 for subscriptions that have the Raiz Condition. If you do not accept the new price, you can turn off renewal before it. 4.7. Virada plan. The reduced-price plan for producers in financial difficulty is subscribed on the producer's own declaration that the farm fits at least one of these situations in the farm year: (a) cash flow was negative; (b) the farm's result was negative, meaning that the revenue of the year did not cover the related costs and expenses, even if cash flow was positive; or (c) the sum of loan payments actually made in the year, including principal, interest and other charges and fees, was more than 30% of revenue for the same year. No documents, proof, figures or prior review are required. Outside Brazil, Alqira does not check the declaration against the farm's records: the Virada price lasts as long as the subscription, and the User undertakes to move to the regular plan when the farm stops fitting all three situations. That move takes effect from the next invoice, at the price in force at that moment, without any retroactive charge or penalty, and does not give the Raiz Condition in the next clause. 4.8. Raiz Condition (price guarantee). Semente plan subscriptions taken out while Alqira offers the Raiz Condition, and identified as such when subscribed, have the contracted price guaranteed as follows:

  • (a) Price kept. The contracted price, for the contracted payment option, is not increased by changes to the price list. General price changes do not reach these subscriptions.
  • (b) Maximum adjustment by inflation. The only adjustment allowed is annual, at renewal, and limited to the accumulated change in the IPCA (Brazil's official consumer price index, published by IBGE) over the previous 12 months, because Alqira is a Brazilian company. If the IPCA ceases to exist or to be published, the official index that replaces it applies.
  • (c) A ceiling, not an obligation. Alqira may adjust by less, or not adjust. Not adjusting in one or more years creates no accumulated credit and does not allow later collection of the differences.
  • (d) Scope. The Raiz Condition covers all modules of the Platform, current and future, at no extra charge. It does not cover third-party products or services offered through the Platform, nor services provided by third parties and paid per use or per transaction, which have their own price and contract.
  • (e) Duration. The Raiz Condition lasts while the subscription remains active and paid. When the subscription ends, for any reason, the Raiz Condition ends with it: a later subscription follows the price and conditions in force at that time, even for the same User and farm. A temporary suspension for non-payment, settled within the contracted term, does not end the Raiz Condition.
  • (f) End of the offer. Alqira may stop offering the Raiz Condition to new subscribers at any time, without affecting subscriptions that already have it.

5. Licence

We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Platform under these Terms. You may not: (a) copy, modify, decompile or reverse engineer the software, except where the law expressly allows it; (b) resell, sublicense or make the Service available to third parties outside your account; (c) use the Platform for unlawful purposes or in breach of third-party rights; (d) try to get around security measures, the isolation between accounts or technical limits.

6. Your responsibility for the data you enter

6.1. You are responsible for the accuracy, correctness and lawfulness of all data you enter in the Platform (weights, dates, prices, invoices, animal identification, financial entries and the like), including data entered by your team. 6.2. The quality of reports, metrics and indicators depends directly on the quality of the data entered. 6.3. You are responsible for keeping your own copies and records where a legal, tax, animal health or traceability obligation requires it.

7. No professional advice; warranties

7.1. Alqira is a management support tool. Its information, calculations, estimates and reports are not accounting, tax, legal, veterinary, animal science or investment advice, and do not replace a qualified professional. 7.2. Every business decision (to buy, sell, slaughter, treat, invest, file a tax return and so on) taken on the basis of the Platform is solely your responsibility. 7.3. Figures marked as "estimated" or "management" figures are approximations based on allocations and assumptions, may contain errors and are not official accounting or tax figures. 7.4. The Service is provided "as is" and "as available", without a warranty that it will be error-free or uninterrupted or fit for your particular purpose, except for warranties that cannot be excluded by law.

8. Availability and support

8.1. We use reasonable efforts to keep the Platform available, but do not guarantee uninterrupted operation. It may be unavailable because of maintenance, failure of third parties (hosting, connectivity) or events beyond our control. 8.2. Support is provided by e-mail at suporte@alqira.com.br, in English or Portuguese, on Brazilian business days, with a first reply within 3 (three) business days. Support covers questions about using the Platform and problems with how it works; it does not include entering or maintaining data on your behalf, nor animal science, accounting or tax consulting. There is no contractual service level at this stage.

9. Limitation of liability

9.1. To the fullest extent permitted by law, Alqira is not liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of revenue, loss of data caused by misuse by the User, or for decisions taken on the basis of the Platform. 9.2. If we are nevertheless held liable, our total aggregate liability is limited to the amount actually paid by the User in the 12 (twelve) months before the event that gave rise to it. 9.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by the applicable law, including liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer protection rules.

10. Intellectual property and your data

10.1. The software, brand, code, design and materials of the Platform belong to Alqira. 10.2. The data you enter remains yours. You grant us a limited licence to host and process it strictly to provide the Service, as described in the Privacy Policy. 10.3. Processing on your behalf. For the personal data that you enter about other people (for example, your staff, buyers and sellers), you are the controller and Alqira acts as your processor. For that data, and as required by article 28 of the EU General Data Protection Regulation (Regulation (EU) 2016/679) and of the UK GDPR, Alqira: (a) processes it only to provide the Service and on your documented instructions, which are these Terms and your use of the Platform; (b) ensures that the people authorized to process it are bound by confidentiality; (c) applies the security measures described in the Privacy Policy; (d) uses only the sub-processors listed in the Privacy Policy, gives notice of a new one by updating that list before it starts processing your data, and lets you object by e-mail; if the objection cannot be resolved, you may end the subscription; (e) helps you, as far as possible, to answer requests from data subjects and to meet your obligations on security, breach notification and impact assessments; (f) at the end of the Service, lets you export the data and deletes it under clause 11; and (g) makes available the information needed to show compliance with this clause. Transfers of that data to Brazil from the European Union rely on the adequacy decision for Brazil (Commission Implementing Decision (EU) 2026/179 of 26 January 2026); transfers from the United Kingdom rely on the International Data Transfer Addendum to the EU Standard Contractual Clauses issued by the UK Information Commissioner, which the parties incorporate into these Terms for that purpose.

11. Ending the Service, retention and export

11.1. You may close your account at any time. We may end or suspend access if you breach these Terms or do not pay, with notice where appropriate. 11.2. Exporting the data you entered. While the subscription is active you can export, at any time and inside the Platform, the data you entered (records and entries, in an open format such as CSV). Reports, metrics, indicators and other calculations produced by the Platform are part of the Service: they are not part of the export and stop being available when the subscription ends. 11.3. Retention after the subscription ends. When the subscription ends (by cancellation or non-payment), the data you entered is kept for 90 (ninety) days. During that period you can reactivate the subscription and carry on where you left off, or obtain the export of the data you entered (inside the Platform, where available, or through support). After that period the data may be permanently deleted without further notice, except where the law requires us to keep it. 11.4. Continuity. If the Service is discontinued, Users will be told at least 60 (sixty) days in advance, and the export of the data entered will remain available during that period.

12. Changes to these Terms

We may change these Terms. Material changes will be announced by e-mail or inside the Platform with reasonable notice. Continued use after a change takes effect means you accept it; if you do not, you may turn off renewal before your next term.

13. Governing law and courts

13.1. These Terms are governed by the laws of the Federative Republic of Brazil, and the courts of São Paulo/SP, Brazil have jurisdiction over disputes arising from them. 13.2. If you are a consumer, this choice of law and court does not deprive you of the protection of the mandatory rules of the country where you have your habitual residence, nor of any right that law gives you to bring proceedings in the courts of that country (in the European Union, article 6 of Regulation (EC) No 593/2008, "Rome I", and articles 17 and 18 of Regulation (EU) No 1215/2012; in the United Kingdom, article 6 of Rome I as retained in UK law).
